Master Wholesale Supply & Distribution Agreement

2. Product line & manufacturing certifications
Covered products. Miospresso will supply Premium Protein Coffee Packs in available formulations and approved wholesale packaging formats designated in accepted purchase orders.
Quality standards. Products are represented as produced in an NSF GMP certified facility in Farmingdale, New York and third-party tested for purity, safety, and potency, subject to applicable FDA, GMP, and New York standards.
3. Master wholesale pricing & retail margin flexibility

Final quantities, product mix, fulfillment terms, and pricing are confirmed in each accepted purchase order.
4. Commercial delivery, lead times & freight
Standard lead time is 7-10 business days after purchase-order acceptance, subject to availability. Shipping, freight, direct delivery, or local pickup terms will be stated in the accepted purchase order.
5. Guarantees, shelf life & return policy
Delivered products will have at least 18 months of remaining shelf life. Damaged, defective, or mis-shipped merchandise must be reported within 10 business days for an approved credit or replacement.
6. Term, authorization & commodity volatility
The initial term is one year and renews automatically unless either party provides 30 days' written notice. Miospresso may adjust wholesale pricing with 30 days' notice for material raw-ingredient cost increases; accepted purchase orders retain their contracted rate.
